These Terms of Service (“Terms”) govern your access to and use of StitchPilot.ai (the “Service”), operated by StitchPilot.ai (“we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Service

StitchPilot.ai provides AI-powered tools for embroidery digitizing (converting images to embroidery files), embroidery rendering (converting embroidery files to images), and an embroidery file viewer. The Service is provided via a web-based platform accessible at stitchpilot.ai.

2. Account Registration

You may access certain features of the Service after creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when registering. You may not share your account with others or create accounts for automated access without our written permission.

3. Credits and Payment

Certain features of the Service require credits. Credits are purchased via our pricing page and may be included in subscription plans. Credits are non-transferable. You acknowledge that credit balances are subject to expiry as described in your plan terms. Payment processing is handled by our third-party payment provider. All prices are in USD unless otherwise stated and are exclusive of applicable taxes.

4. Acceptable Use

You agree not to use the Service to:

• Upload content that infringes third-party intellectual property rights
• Upload content that is unlawful, harmful, or offensive
• Attempt to reverse-engineer, scrape, or extract our AI models or training data
• Use automated scripts or bots to access the Service without prior written consent
• Circumvent usage limits, access controls, or billing mechanisms

5. Intellectual Property

You retain all rights to the images and files you upload to the Service. You grant us a limited license to process your uploaded content solely to provide the Service. Embroidery output files generated from your uploads are owned by you. We retain all rights to our platform, AI models, software, and branding. Nothing in these Terms transfers ownership of our intellectual property to you.

6. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that digitizing output will meet any specific quality standard. AI-generated output may require manual review before production use.

8. Limitation of Liability

To the maximum extent permitted by applicable law, StitchPilot.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claims under these Terms shall not exceed the amounts paid by you to us in the twelve months preceding the claim.

9. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law survive termination.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in the jurisdiction where StitchPilot.ai is incorporated.
